Please read these Terms of Service ("Terms") carefully before downloading or using Foldiq ("the App", "we", "our"). By downloading or using Foldiq, you agree to be bound by these Terms. If you do not agree, do not download or use the App.
1. License to use the App
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App for your personal or business purposes, in accordance with these Terms, on devices you own or control.
You may not:
- Copy, modify, or distribute the App or any portion of it
- Reverse engineer, decompile, or disassemble the App
- Rent, lease, lend, sell, or sublicense the App
- Remove or alter any proprietary notices or labels on the App
- Use the App for any unlawful purpose or in violation of any applicable law
2. Your files and data
Foldiq accesses, reads, and reorganizes files on your computer solely according to your explicit instructions. You retain full ownership of all files and media you process with the App. We claim no rights, license, or interest in any of your files.
Foldiq makes no network connections and transmits no data anywhere. All operations are performed locally on your device. See our Privacy Policy for full details.
3. No deletion without your confirmation
Foldiq does not delete files without your explicit confirmation. Before any files are moved or reorganized, the App shows you a complete preview of the planned changes, and no operation begins until you approve it. Every organization run can also be fully reversed using the App's built-in undo.
⚠️ Important: Before using Foldiq on any photo library, we strongly recommend keeping a backup of your files. While Foldiq includes a full undo feature, it is not a substitute for a proper backup.
4. Backup responsibility
Foldiq reorganizes files on your local storage. Although the App includes an undo manifest that allows you to reverse all file movements, you are solely responsible for maintaining adequate backups of your files before using the App. We are not responsible for any data loss resulting from use of the App, hardware failure, operating system errors, or any other cause.
We recommend using Time Machine, an external drive backup, or another backup solution before running any organization operation.
5. Disclaimer of warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will meet your specific requirements
- The App will be uninterrupted, error-free, or bug-free
- The results obtained from using the App will be accurate or reliable
- Any errors in the App will be corrected
6. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF FILES, OR LOSS OF PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid for the App (if any).
7. User conduct
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to use the App to:
- Process, organize, or distribute any files that you do not have the legal right to access
- Violate any applicable local, national, or international law or regulation
- Infringe upon the intellectual property rights of others
8. Intellectual property
The App and its original content, features, and functionality are and will remain the exclusive property of Foldiq and its developers. The App is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
9. Third-party terms
Foldiq is available for macOS and Windows. The Windows version and direct downloads are distributed through our website. The macOS version may also be distributed through the Apple Mac App Store. When you obtain the App through the Mac App Store, your use is additionally subject to Apple's App Store Terms of Service, available at apple.com/legal, and in the event of a conflict between these Terms and Apple's terms, Apple's terms will control with respect to Mac App Store usage.
10. Updates and changes to the App
We may release updates, patches, or new versions of the App from time to time. We reserve the right to modify or discontinue the App at any time without notice. We are not obligated to provide support, updates, or maintenance for the App.
11. Changes to these Terms
We reserve the right to update or modify these Terms at any time. If we make material changes, we will update the effective date at the top of this page. Your continued use of the App after any changes constitutes your acceptance of the new Terms.
12. Governing law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in the Commonwealth of Virginia, United States.
